Exclusivity and integration

Employees typically work for one employer and are integrated into the team. Contractors work for many clients, report independently, and maintain arm's-length relationships. Embedded contractors face misclassification scrutiny.

Term and equipment

Long-term, rolling engagements with employer-provided equipment signal employment. Short-term project work with contractor-owned tools signal independence. Substance over contract language decides the test.

What is the cost if I misclassify a contractor?

Back-pay on PF (12%), ESIC (4.75%), gratuity accrual (15/26 of salary), and income tax at applicable slabs, all with 12% annual penalties. For a 2-year, 15 lakh/year engagement, exposure runs 4 to 7 lakh in arrears plus penalties.

Can a contractor agreement protect me from misclassification risk?

Only if the engagement is genuinely independent. Substance-over-form tests ask: who controls the work? Does the person work for you exclusively? Do you direct how the work is done? Contract language alone does not override the facts.

What happens if I convert a misclassified contractor to EOR?

Does the 2020 Labour Code change contractor classification?

Yes. The Code on Industrial Relations (2020) tightened the definition of employee and consolidated older statutes. Engagements that fit the old framework may not fit now. The substance-over-form tests are more rigorous and codified.
